General Terms and Conditions I’m Studio - A Creative Production Studio

Applicability

These General Terms and Conditions apply to all services, offers, and agreements from I’m Studio, a Creative Production Studio focused on photography, art direction, production, and video. By using our services, you agree to these terms and conditions.

Article 1 - Definitions

  1. I’m Studio: A private limited company specializing in creative production, including photography, art direction, video, and production services.

  2. Customer: Any natural person or legal entity using the services provided by I’m Studio.

  3. Agreement: Any contract between I’m Studio and the Customer for services, whether concluded remotely or otherwise.

  4. Services: All creative production services provided by I’m Studio, including photography, art direction, video, and production.

  5. Website: The official website of I’m Studio, available at www.imstudio.amsterdam.

Article 3 - Applicability of General Terms and Conditions

  1. These Terms govern all offers and agreements between I’m Studio and the Customer.

  2. Any deviations from these Terms are only valid if agreed upon in writing.

  3. The Customer’s general terms and conditions are explicitly rejected unless agreed otherwise in writing.

  4. If any provision in these Terms is found to be invalid, the remainder of the Terms remain enforceable.

Article 4 - Offer and Conclusion of the Agreement

  1. Offers on the Website are non-binding unless explicitly stated otherwise.

  2. Agreements are established through written confirmation by I’m Studio.

  3. Quotations are valid for 7 calendar days unless stated otherwise.

  4. Images of services and projects on the Website are illustrative and non-binding.

  5. An Agreement is concluded for a fixed period unless otherwise agreed in writing.

Article 5 - Execution of the Agreement

  1. I’m Studio will execute services professionally and with due care.

  2. I’m Studio provides a best-efforts obligation, not a results obligation.

  3. Customers must adhere to house rules and ensure compliance with safety guidelines.

  4. Additional costs may apply for exceeding agreed time slots for studio or services offered.

  5. I’m Studio may engage third parties for service execution.

  6. The Customer must provide accurate and timely information for service execution.

Article 6 - Amendments to the Agreement

  1. If changes to the Agreement are necessary, both parties will agree on the amendments in writing.

  2. Additional services will be invoiced separately.

  3. Changes to the Agreement do not justify immediate termination unless mutually agreed upon.

Article 7 - Suspension and Termination

  1. I’m Studio may suspend or terminate an Agreement if the Customer fails to fulfill obligations.

  2. Immediate termination may occur if service fulfillment becomes impossible or unreasonable.

  3. If terminated due to Customer default, I’m Studio is entitled to compensation for damages.

Article 8 - Right of Revocation

  1. Consumers may cancel a remote Agreement within 14 days of signing the Agreement, unless services have already commenced.

  2. Professional Customers have no right of revocation.

  3. If the revocation occurs within the 14-day period, any partial services provided up to that point must be paid for.

  4. Any costs incurred by I’m Studio before the revocation, including material purchases, reservations, or administrative expenses, will be invoiced to the Customer.

Article 9 - Cancellation Policy

  1. Once a collaboration contract is signed, any cancellation will result in billing for the hours worked and costs incurred up to the date of cancellation.

  2. Cancellation requests must be made in writing and explicitly confirmed by I’m Studio.

  3. If additional costs arise due to the cancellation, including costs incurred for bookings such as backdrops and delivery fees, these will be passed on to the Customer.

Article 10 - Payment Terms

  1. Prices are in Euros, including VAT for consumers but excluding VAT for professional customers.

  2. Payment is structured as follows:

    • 50% deposit upon agreement of quotation.

    • 25% payment two weeks before the start of the assignment.

    • 25% final payment plus any additional costs or post-calculation expenses after project completion.

  3. Additional service hours are subject to availability and extra charges.

  4. Late payments incur statutory interest and collection fees.

Article 11 - Intellectual Property & Usage Rights

  1. I’m Studio retains copyright over created content unless otherwise agreed in writing.

  2. A buy-out fee must be agreed upon for full transfer of rights.

  3. Customers are not allowed to reuse, resell, or repurpose content without prior consent.

  4. I’m Studio may use created content for promotional purposes unless objected to in advance.

Article 12 - Revisions & Changes

  1. Each project includes a maximum of 2 revision rounds. Any additional revisions will be charged at the applicable hourly rate.

  2. Once the final project has been approved and delivered, further changes will be considered new work and invoiced separately.

Article 13 - Customer Material & Responsibility

  1. The Customer guarantees that all provided materials (such as logos, music, and text) are free of third-party claims and indemnifies I’m Studio from legal actions.

  2. Any licensing fees for third-party assets must be covered by the Customer.

Article 14 - Additional Costs & Unexpected Expenses

  1. If additional expenses arise during production (e.g., travel, extra equipment, external location fees), these will be communicated to and approved by the Customer before being invoiced.

  2. Any unexpected costs due to changes requested by the Customer will be billed accordingly.

Article 15 - Limitation of Liability

  1. I’m Studio is not liable for errors or omissions of third parties.

  2. I’m Studio is not responsible for equipment availability or network failures.

  3. Customers are responsible for damages caused to equipment and premises.

  4. Customers must have liability insurance.

  5. I’m Studio is not responsible for theft, loss, or damage to personal property.

  6. Creative work is subjective; dissatisfaction based on preference does not justify liability claims.

Article 16 - Governing Law & Jurisdiction

  1. These Terms are governed by Dutch law.

  2. Consumer disputes will be handled by the court in the Customer’s district.

  3. Professional Customer disputes will be handled by the court of Amsterdam.
